Non-Disclosure & User Agreement

1. Parties

This Non-Disclosure and User Agreement ("Agreement") is entered into between CoreMentor OS ("Company," "we," "our"), its affiliated entities and partners — including but not limited to Infiniti Financial Partners, Quility Insurance, and Symmetry Financial Group and their respective affiliates, subsidiaries, and partner agencies — and the individual accessing or using the CoreMentor OS platform ("Agent," "you," "your").

By checking the NDA agreement checkbox on the registration form and/or by accessing the CoreMentor OS platform, you acknowledge that you have read, understood, and agree to be bound by the terms of this Agreement.

2. Purpose

This Agreement is designed to protect confidential information, proprietary processes, trade secrets, business strategies, technology, training materials, recruiting methodologies, candidate data, and other sensitive information disclosed to you through the CoreMentor OS platform, its training programs, communication channels, and related services.

3. Definition of Confidential Information

"Confidential Information" includes, but is not limited to:

  • Platform technology, software architecture, source code, algorithms, and proprietary tools
  • Recruiting processes, pipeline workflows, automation sequences, drip campaigns, and outreach strategies
  • Candidate personal data, application records, contact information, and pipeline status
  • Training modules, curricula, video content, documentation, and educational materials
  • Business plans, pricing models, financial data, revenue metrics, and growth strategies
  • Client lists, partner agreements, vendor relationships, and integration configurations
  • Internal communications, meeting notes, strategy sessions, and team correspondence
  • Any information marked or reasonably understood to be confidential or proprietary

4. Obligations of the Agent

By executing this Agreement, you agree to:

  • Non-Disclosure: Not disclose, share, publish, distribute, or otherwise make available any Confidential Information to any third party without prior written consent from CoreMentor OS.
  • Non-Compete (Platform): Not use Confidential Information to create, develop, market, or operate any competing platform, service, or product that is substantially similar to CoreMentor OS.
  • Non-Solicitation: Not solicit, recruit, or attempt to recruit candidates, clients, employees, or contractors of CoreMentor OS or its affiliates using information obtained through the platform.
  • Data Protection: Handle all candidate and client data in compliance with applicable privacy laws, including but not limited to TCPA, CAN-SPAM, GDPR, and state-level data protection statutes.
  • Platform Use: Use the CoreMentor OS platform only for its intended purposes — recruiting, onboarding, training, and team management — and not for any unlawful, unauthorized, or unethical activity.
  • Account Security: Maintain the confidentiality of your login credentials and not share your account access with any unauthorized person.

5. Intellectual Property

All content, tools, workflows, training materials, branding, code, and processes available through CoreMentor OS are the exclusive intellectual property of CoreMentor OS and/or its licensors. This Agreement does not grant you any ownership rights, licenses, or permissions beyond the limited right to use the platform as an authorized agent.

You may not copy, reproduce, reverse-engineer, modify, distribute, or create derivative works based on any part of the CoreMentor OS platform without express written permission.

6. Term and Survival

This Agreement is effective upon acceptance and remains in force for as long as you have access to the CoreMentor OS platform. The confidentiality and non-disclosure obligations shall survive the termination or expiration of this Agreement for a period of three (3) years following termination, or for as long as the information remains confidential, whichever is longer.

7. Remedies for Breach

You acknowledge that a breach of this Agreement may cause irreparable harm to CoreMentor OS and its affiliates. In addition to any other remedies available at law or in equity, CoreMentor OS shall be entitled to seek injunctive relief, specific performance, and any other equitable remedies without the need to post bond or prove actual damages.

The breaching party may also be liable for all costs, damages, and reasonable attorney's fees incurred by CoreMentor OS in enforcing this Agreement.

8. Permitted Disclosures

Confidential Information may be disclosed only if:

  • Required by law, regulation, or valid court order (with reasonable prior notice to CoreMentor OS when legally permissible)
  • The information becomes publicly available through no fault of the Agent
  • The Agent received the information independently from a source with no obligation of confidentiality
  • Express written permission is granted by CoreMentor OS

9. Platform Acceptable Use

As a user of CoreMentor OS, you agree to:

  • Provide accurate and truthful information during registration and onboarding
  • Not engage in spamming, harassment, or any form of abusive communication through the platform
  • Comply with all applicable local, state, and federal laws in your use of the platform
  • Not attempt to access, tamper with, or interfere with any part of the platform's infrastructure or security systems
  • Report any security vulnerabilities or data breaches to CoreMentor OS immediately

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, COREMENTOR OS AND ITS AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM OR THIS AGREEMENT, REGARDLESS OF THE THEORY OF LIABILITY.

11. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. Any disputes arising under this Agreement shall be resolved in the state or federal courts located in the State of Florida.

12. Modifications

CoreMentor OS reserves the right to update or modify this Agreement at any time. Updated versions will be posted on the platform, and continued use of the platform after any modifications constitutes acceptance of the revised terms.

13. Entire Agreement

This Agreement, together with CoreMentor OS's Privacy Policy, SMS Policy, and Terms of Service, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior or contemporaneous oral or written agreements, understandings, or representations.
